Remuneration to Board members is authorized by the AGM and distributed by the Board to members who are not employed by the Group.
Remuneration to the President and CEO is proposed by the Remuneration Committee and authorized by the Board of Directors. Board members who are not employed by Electrolux are not invited to participate in the Group’s long-term incentive programs, nor in any outstanding share or share price incentive schemes. With the exception of the President and CEO, the members of the Board are not Group executives.
The AGM 2008 approved the proposals for yearly fees to the Board allocated as shown below. The AGM approved the Nomination Committee's proposal that it will be possible to pay part of the fees to the Board members, in respect of the Board assignment, in the form of so-called synthetic shares, on the terms and conditions described in the notice convening the AGM.
The Auditor's fee is to be paid on approved account.
Chairman of the Remuneration Committee is Barbara Milian Thoralfsson and Chairman of the Audit Committee is Peggy Bruzelius.
